Preliminary Note

These Website Terms of Service ("Terms") govern access to and use of the JPW Marine trade customer portal and website located at www.jpwmarine.com.au (the Website).

These Terms govern website access and use only. They do not govern the supply of goods, pricing, payment terms, credit, title, risk, delivery, or warranties.

All product supply, pricing, payment terms, credit arrangements, title, and risk are governed exclusively by JPW Marine's separate Terms and Conditions of Trade ("Trade Terms"), as amended from time to time. In the event of any inconsistency between these Terms and the Trade Terms on a supply-related matter, the Trade Terms prevail.

By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Website.

1. Definitions

In these Terms:

Account means the approved trade account and login credentials issued by JPW Marine to an Authorised User.

Authorised User means an individual employed by or acting on behalf of an Approved Customer who has been granted access to the Website by JPW Marine.

Approved Customer means a business entity that has completed JPW Marine's trade account application process and has been approved, in JPW Marine's discretion, to access the Website.

Content means all text, images, product data, pricing information, availability data, documentation, and other material published on or accessible through the Website.

Intellectual Property Rights means all copyright, trade marks, patents, design rights, database rights, confidential information rights, and all other intellectual property rights, whether registered or unregistered, anywhere in the world.

JPW Marine, we, us, or our means JPW Marine Pty Ltd (ABN 71 650 739 521).

Order means a purchase order submitted through the Website by an Authorised User.

Trade Terms means JPW Marine's Terms and Conditions of Trade governing product supply.

Website means the JPW Marine trade customer portal and associated web services at www.jpwmarine.com.au.

you or your means the Approved Customer and, where the context requires, the Authorised User acting on that customer's behalf.

2. Service Description

2.1 What the Website Provides

The Website is a secure, trade-only online portal that enables Authorised Users to:

• Browse product listings, specifications, and indicative availability;
• View account-based pricing applicable to the Approved Customer;
• Place, track, and manage Orders;
• Access order history and account information; and
• Download available product documentation and resources.

2.2 What the Website Does Not Guarantee

The Website is provided as a convenience tool only. JPW Marine does not represent or warrant that:

• Product availability information is real-time or continuously accurate;
• Pricing displayed reflects final pricing, which remains subject to the Trade Terms and supplier adjustments;
• The Website will be available at all times, uninterrupted, or free from errors;
• Orders submitted via the Website are automatically accepted; or
• The Website will be free from viruses or other harmful components.

All supply of products and the legal relationship created by an accepted Order are governed exclusively by the Trade Terms.

3. Trade-Only Access and Account Approval

3.1 Trade Customers Only

The Website is strictly restricted to Approved Customers operating as trade businesses, including licensed boat builders, marine repairers, trailer manufacturers, and other marine industry professionals. The Website is not a retail platform and is not intended for use by consumers or members of the general public.

3.2 Account Approval

Access to the Website requires prior completion of JPW Marine's trade account application process. JPW Marine reserves the right, in its discretion, to approve or decline any application for access, without being required to provide reasons. Approval of Website access does not create any obligation to supply goods or extend credit.

3.3 Account-Based Pricing

Pricing displayed on the Website is account-specific, confidential, and not publicly available. Pricing varies by customer classification, volume arrangements, and supplier agreements. Displayed pricing does not constitute a binding offer and is subject to change without notice. All pricing is governed by the Trade Terms.

3.4 Eligibility Representations

By accessing the Website, you represent and warrant that:

• You are accessing and using the Website on behalf of an Approved Customer;
• You are authorised to act for that Approved Customer;
• You are accessing and using the Website for business purposes and not predominantly for personal, domestic, or household use;
• All information provided to JPW Marine is accurate and current; and
• Your use of the Website is for legitimate trade purposes only.

4. Account Responsibilities and Security

4.1 Account Credentials

You are responsible for maintaining the confidentiality and security of your Account credentials. You must not share login details with any unauthorised person.

4.2 Responsibility for Account Activity

You are responsible for all activity conducted through your Account. Any Order placed using your Account credentials will be treated as having been placed by you and will be subject to the Trade Terms.

4.3 Unauthorised Access

You must notify JPW Marine immediately of any suspected unauthorised access or security incident affecting your Account.

4.4 Personnel Changes

You must promptly notify JPW Marine when an Authorised User ceases to be employed by or authorised to act for the Approved Customer.

4.5 Accuracy of Account Information

You must keep all account information accurate and up to date, including business details, delivery addresses, and ABN.

5. Acceptable Use Policy

You may use the Website solely for legitimate internal business purposes. You must not:

• Scrape, harvest, or automate access to Website data;
• Disclose account-specific pricing to third parties;
• Use the Website for competitive analysis or benchmarking;
• Reverse engineer or interfere with Website systems;
• Misrepresent your identity or affiliation; or
• Use the Website unlawfully or fraudulently.

A breach of this clause may result in suspension or termination of Website access and enforcement action.

6. Orders Placed via the Website

Orders submitted via the Website constitute offers only. No binding contract is formed until JPW Marine confirms acceptance or despatches goods. JPW Marine may decline or cancel Orders at its discretion. All accepted Orders are governed exclusively by the Trade Terms.

7. Intellectual Property

All Intellectual Property Rights in the Website and Content are owned by or licensed to JPW Marine. You are granted a limited, revocable licence to use the Website for internal business purposes only.

8. Privacy

JPW Marine collects and handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Our Privacy Policy is available at www.jpwmarine.com.au/privacy-policy.

9. Disclaimers

The Website is provided "as is" and "as available". JPW Marine makes no warranties regarding availability, accuracy, or fitness for purpose.

10. Limitation of Liability

To the fullest extent permitted by law, JPW Marine excludes all liability arising from or in connection with access to or use of the Website. All supply-related liability is governed exclusively by the Trade Terms. Nothing in these Terms limits liability that cannot be excluded by law.

11. Suspension and Termination

JPW Marine may suspend or terminate Website access at any time for breach, security, or operational reasons. Termination of Website access does not affect obligations under the Trade Terms.

12. General

12.1 Governing Law

These Terms are governed by the laws of Western Australia. Each party submits to the exclusive jurisdiction of the courts of Western Australia.

12.2 Amendments

JPW Marine may amend these Terms by publishing updated Terms on the Website. JPW Marine may, but is not obliged to, provide notice of material changes.

12.3 Entire Agreement (Website Only)

These Terms and the Privacy Policy constitute the entire agreement regarding Website use only and do not replace the Trade Terms.

12.4 Severability

Invalid provisions are severed without affecting the remainder.

12.5 Force Majeure

JPW Marine is not liable for Website unavailability caused by events beyond its reasonable control.
